Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and the developer of HypedUp Live, an individual operating under Israeli law ("we," "us," "our"). By accessing or using the HypedUp Live mobile application ("App"), you confirm that you:

• Are at least 13 years of age;
• Have read and understood these Terms;
• Agree to be bound by these Terms and our Privacy Policy.

2. Description of the Service

The App provides the following features for personal practice purposes only:

• A simulated live streaming environment with a fictional audience
• Configurable audience size, vibe, and language settings
• Simulated comment streams generated by the App
• Simulated gift and reaction animations
• Session statistics (peak viewers, likes, gifts — all simulated)
• Practice streak tracking
• Customizable viewer packages and content categories

3. Acceptable Use

3.1 Permitted Uses

You may use HypedUp Live solely for:

• Personal practice and rehearsal for live streaming
• Building on-camera confidence and presentation skills
• Testing content formats before going live on real platforms
• Educational purposes related to live streaming skills

3.2 Prohibited Uses

You must NOT use HypedUp Live to:

• Deceive third parties — You may not use the App in a manner intended to make real audiences, clients, sponsors, or any other third parties believe you have genuine live stream viewers, engagement, or followers. Showing the App's simulated screen to others as evidence of real performance is strictly prohibited.
• Commit fraud — You may not use the App to fraudulently misrepresent your social media presence, audience size, or engagement metrics for commercial gain, sponsorships, brand deals, or any other financial purpose.
• Impersonate real platforms — You may not use the App to impersonate Instagram, TikTok, YouTube, or any other real streaming platform or service.
• Violate platform terms — You may not use the App in a way that violates the terms of service of any third-party platform.
• Harm others — You may not use the App in any way that harasses, deceives, or causes harm to any person.
• Illegal activities — You may not use the App for any purpose that is unlawful under applicable law, including Israeli law.
• Minors — You may not use the App if you are under 13 years of age.

4. In-App Purchases and Virtual Currency

4.1 Virtual Coins

The App uses a virtual currency ("coins") that can be used within the App to access certain features. Virtual coins:

• Have no real-world monetary value and cannot be exchanged for real currency;
• Are not transferable between users;
• Do not represent any ownership interest;
• May be purchased via Apple's in-app purchase system.

4.2 No Refunds for Virtual Currency

All purchases of virtual coins are final. We do not offer refunds for virtual currency except where required by applicable law or Apple's refund policies. Refund requests must be directed to Apple through the App Store.

4.3 Price Changes

We reserve the right to change the pricing of in-app purchases at any time. Price changes will not affect purchases already completed.

5. Intellectual Property

5.1 Our Property

The App, including all software code, design, graphics, text, data, and other content, is owned by us and protected by applicable intellectual property laws, including Israeli copyright law and international treaties. You may not copy, modify, distribute, sell, or create derivative works of the App or any part of it without our prior written consent.

5.2 Your Content

Any display name or profile photo you provide remains your property. By providing such content, you grant us a limited, non-exclusive licence to display it within the App for the purpose of operating the service. We do not claim ownership of your content.

5.3 Feedback

If you submit feedback or suggestions about the App, you grant us the right to use such feedback without restriction or compensation.

6. Disclaimers

To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the maximum extent permitted by Israeli law and applicable consumer protection regulations, we shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages;
• Loss of data, profits, goodwill, or business opportunities;
• Damages arising from your reliance on simulated metrics for real-world decisions;
• Any third-party actions or platform policies triggered by your use of the App;
• Interruption or unavailability of the App or its features.

Our total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you paid for the App or in-app purchases in the 12 months preceding the claim, or ILS 100, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded under mandatory Israeli consumer protection law.

8. Privacy

Your use of the App is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our data practices as described in the Privacy Policy.

9. Updates and Changes to the App

We may update the App from time to time, including automatic over-the-air updates. These updates may change or remove features. We are not obligated to maintain any particular feature or version of the App. We will endeavour to give reasonable notice of significant changes.

10. Termination

These Terms remain in effect until terminated. We may terminate or suspend your access to the App immediately, without notice, if you breach these Terms. Upon termination, your right to use the App ceases. Sections 5 (Intellectual Property), 6 (Disclaimers), 7 (Limitation of Liability), and 11 (Governing Law) survive termination.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, through an in-app notice. Your continued use of the App after changes take effect constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the App.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. The Israeli Consumer Protection Law, 5741-1981 applies where relevant.

Any dispute, claim, or controversy arising from or relating to these Terms or your use of the App shall be submitted to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel. You consent to personal jurisdiction in Tel Aviv, Israel.

Before initiating any legal action, we encourage you to contact us at support@hypedup.live to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days.

13. General Provisions

• Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the App.
• Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
• No waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
• Language: These Terms are written in English. In case of conflict between an English version and any translated version, the English version shall prevail.
• Assignment: You may not assign your rights or obligations under these Terms. We may assign our rights to a successor in connection with a merger, acquisition, or sale of assets.
